Investor Portal Terms

The portal you are using is operated with TenthAvenue software on behalf of the sponsor or issuer named on the offering (the "Sponsor"). Any securities described are offered solely by the Sponsor. Powered by TenthAvenue, a software provider to the sponsor. TenthAvenue is not a broker-dealer, investment adviser, or funding portal and does not offer or recommend securities.

Nothing in the portal is investment, legal, or tax advice, and nothing is a recommendation to invest. Review the Sponsor's offering documents and consult your own advisers. Private investments involve risk, including loss of principal.

You agree to provide accurate information for identity, entity, accreditation, and sanctions verification, which the Sponsor requires before you can invest, and to keep your login and two-factor authentication secure. Verification data is processed as described in the Privacy Policy.

You consent to sign documents electronically and to receive documents, statements, notices, and tax forms (such as K-1s) electronically through the portal and by email. Your electronic signature has the same effect as ink. You may request paper delivery or withdraw this consent by contacting the Sponsor, which may limit your ability to use the portal.

When you fund an investment online, you authorize the payment to the Sponsor through the Sponsor's own payment account, processed by Stripe. Where bank-debit (ACH) payment is offered, you will be shown and must accept a debit authorization at the time of payment. Wire transfers go directly from your bank to the Sponsor's account.

Your investment relationship, including subscription terms, distributions, and any disputes about an offering, is with the Sponsor. TenthAvenue provides the software and is not a party to your investment.
